The Offer at a Glance

$295,000

20% Non-Voting Equity

Valuation

$295,000 for 20% implies a $1.18 million pre-money valuation and a $1.475 million post-money valuation. Because Kumaya World is pre-revenue, this is the working valuation underlying the proposed investment rather than a valuation based on established earnings.

20% at closing Founder control preserved Repurchase right: up to 5 percentage points beginning after Year 7

The proposed structure gives the investor 20% ownership at closing while preserving founder voting and management control. Beginning after the seventh anniversary of the investment, Kumaya World would have the option to repurchase up to 5 percentage points of that ownership under terms established in the definitive agreements.

Potential Paths to Investor Return

Investor value would depend on Kumaya World’s future performance and value. Potential paths include profit distributions, a future sale or strategic transaction, and the founder repurchase right beginning after Year 7.

Capital Stewardship & Controls

Founder compensation will remain fixed at $6,000 per month, and the $78,000 Controlled Reserve will be kept separate from day-to-day operating funds. When reserve funds are used for a meaningful business expense, the amount, purpose, and reason for using them will be documented. Company accounts will also be reconciled through third-party bookkeeping or accounting support.

These measures are intended to support disciplined use of the investment while allowing Kumaya World to make business decisions as it learns what is working in the market.

How the Reserve Is Managed

The $78,000 Controlled Reserve will be kept separate from day-to-day operating funds. It will be used only if additional capital is needed because revenue develops more slowly than expected, or to support an opportunity that is showing enough promise to justify further spending.

Founder Compensation

Founder compensation is fixed at $6,000 per month for twelve months. It will be paid as a scheduled operating expense rather than as an upfront payment, discretionary draw, bonus, or distribution from investment proceeds.

When Reserve Funds Are Used

Before reserve funds are transferred into day-to-day business use, the amount, intended use, and reason for the transfer will be documented. This creates a written record of why reserve funds were used and what they were intended to support.

Third-Party Bookkeeping

Company accounts will be reconciled monthly through third-party bookkeeping or accounting support. Operating expenses, founder compensation, vendor payments, and reserve activity will therefore be recorded and reviewed outside the founder’s own internal tracking.

Tracking Spending Changes

Invoices, receipts, contracts, payroll records, and other supporting records will be retained for company expenditures. If a significant amount of capital is moved from one major use-of-funds category to another, the reason for the change will also be documented.

Related-Party Transactions

Transactions involving the founder or another related party, outside the approved founder compensation structure, will be documented and disclosed.

Together, these controls create a clear record of how investment capital is used and why significant spending decisions are made, while allowing Kumaya World to adjust as the business develops. They do not give the investor approval rights over day-to-day business decisions.

Validation

What should this investment help Kumaya World prove?

From Market Entry to Scalability

The approximately twelve months are intended to establish paid demand, client acquisition performance, client behavior and retention, unit economics, and what deserves further investment.

  1. Market Entry

Bring Kumaya World into the market, enroll the first paying clients, begin delivery, and learn how people respond to the offers and the ways they discover the brand.

    What we watch

    • Paid enrollments
    • Qualified inquiries
    • Early channel response
    • Onboarding and delivery
  2. Test the Market

Identify which offers people choose, which channels bring the strongest prospects, and what it actually costs to attract and serve a paying client.

    What we watch

    • Offer demand
    • Conversion
    • Acquisition cost
    • Cost to serve
    • Participation
  3. Test Consistency

See whether paid enrollment, acquisition performance and client engagement begin repeating often enough to show a real pattern.

    What we watch

    • Repeat paid enrollment
    • Recurring acquisition patterns
    • Completion and participation
    • Client satisfaction
    • Referrals and continued participation
  4. Repeat

Repeat the offers, acquisition approaches and delivery patterns that are producing consistent results, while reducing or changing what is not working and expanding capacity as demand supports it.

    What we watch

    • Repeated enrollment
    • Continued channel performance
    • Capacity added as needed
    • Greater focus on the strongest offers

Delivery

Can Kumaya World serve more clients without the founder becoming the bottleneck?

Delivery Capacity

This brand is designed so that client support can grow without requiring the founder to personally coach every client one-to-one. Digital delivery, shared group guidance and contracted individual support each play a different role.

Citizen Delivery Model

Program materials, interactive tools, and structured exercises are delivered digitally. Founder time is concentrated on group guidance, with contracted individual support provided where applicable.

Digital Delivery

Programs, guidebooks, games, tools, resources and progress tracking are delivered through the digital platform.

Founder-Led Group Support

20

Active Citizens per group

4

Sessions per month

60 min

Per session

At the initial stage, Citizens in the Awareness, Regulation and Embodiment Paths, as well as The Complete Alignment Program, participate in the same shared founder-led group.

The four monthly sessions are recurring sessions for the same active group, not 80 separate client spaces.

Contracted Individual Support

Included individual support is delivered by a contracted professional according to the Citizen Program. As enrollment grows, additional qualified contracted professional capacity can be added without increasing the founder’s one-to-one delivery load.

As Enrollment Grows

When active Citizen enrollment moves beyond the capacity of one group, another group can be added in a similar capacity block.

1 Group

Up to 20 active Citizens

4 founder-led live session hours / month

2 Groups

Up to 40 active Citizens

8 founder-led live session hours / month

3 Groups

Up to 60 active Citizens

12 founder-led live session hours / month

Live group-session time only. Preparation, client communication and other founder responsibilities are separate.

Path-specific groups may be introduced later if enrollment makes them useful.

Capacity expands by adding groups and contracted professional support as enrollment grows, rather than shifting the business toward founder-led one-to-one delivery.

Market

Who is Kumaya World trying to reach first?

Initial Market

The brand will initially focus on English-speaking adults who recognize that something in their life needs to change and are looking for meaningful support in creating that change.

Seeking Change

They recognize that something in their patterns, relationships, choices, habits or direction needs to change.

Ready to Participate

They are willing to reflect, practice, use the tools and take an active role in their own growth.

Willing to Commit

They are willing to give the process the time, attention and financial commitment appropriate to the experience they choose.

Acquisition

How will Kumaya World reach them?

Finding Clients

Kumaya World will not depend on a single acquisition channel. The initial approach is to reach potential clients through a mix of Search Engines + AI Advertising, relevant communities, referrals, trusted voices and partnerships, selective paid media, and location-based advertising, then learn which routes most consistently lead to qualified inquiries and paid enrollment.

The goal is not to be everywhere. It is to identify the routes that repeatedly bring the right people into Kumaya World and concentrate effort there.
